Appointed panel firm's work will include, but not be limited to, the below in return for the appropriate fee, which should be capped at at £51,670 for the Green Impact Alliance and £42,730 for the follow on project. 1. Pre-instruction advice and discussions with Homes England personnel; 2. Preparation of the Framework agreement outlining the parameters of the lending alliance along with the documentation and operation model of the lending alliance. 3. Negotiate, review and agree the Master Trust Deed which offers Homes England protection in the instance of insolvency of the lenders of record and regulates the beneficial interest in the underlying loans. 4. Review and agree the proposed SME Loan Documentation (which will include security documentation) and all associated ancillary documentation proposed by the non-bank lenders. SME loans will be documented via one facility agreement, co-ordinated by the lead non-bank lender as part of the transaction process and Homes England will require you to review these documents. During the individual loan transaction, the lead non-bank panel lawyers will act under a duty of care to all parties, attesting that the final executed transaction documents comply with all requirements outlined in the Framework Agreement. SME loan facility documents are expected to be in the lead non-bank lender's standard form which will be provided to Homes England, with Homes England's panel lawyer undertaking bespoke amendments necessary to the facility document templates for Homes England, such as Freedom of information act/modern slavery requirements. These documents will serve as standard template documents and Homes England will not require ongoing legal services once the scheme has launched. 5. Undertake completion formalities 6. Prepare a transaction summary and bible of documents 7. Conducting and administering the service through the Transaction Management System (TMS) 8. Attending key legal meetings and project updates 9. Providing completed original documents and electronic copies to Homes England Deeds Management team. 10. Provide all regulatory advice at the outset on the establishment of the structure in light of the structure's future activities as required from time to time.
