Description

Glasgow Prestwick Airport ("GPA") is an international airport on the west coast of Scotland in the UK. Prestwick Aviation Holdings Limited ("PAHL") wholly owns GPA. PAHL is wholly owned by TS Prestwick Holdco Limited ("TS Holdco"), which in turn is wholly owned by the Scottish Ministers. In June 2019 TSP HoldCo instigated a sale of its shareholding in PAHL. A preferred bidder was appointed in December 2019. However, due to the impact of the Covid-19 global pandemic, the preferred bidder withdrew from the process. On the basis of continued market interest, TSP Holdco has decided to again explore the sale of 100% of its shareholding in PAHL by way of a voluntary competitive process. GPA offers a wide range of aviation services including freight, passenger military, specialist executive handling as well as general aviation. GPA is the only airport in Scotland to have its own railway station and railway link straight to the terminal. GPA has two runways serviced via six aprons. The terminal building was originally constructed for four million passengers and currently has capacity for 18 check in desks, 10 gates and 12 stands. GPA is located on a significant land bank of 356 hectares – 65 per cent of which is utilised for aviation activities.

Bidders are asked to express their interest in the Proposed Transaction by 1200 hours BST on 26 November 2020 by submitting a completed Eligibility Response to the Eligibility Questionnaire ("EQ") to the "Postbox" facility on the www.publiccontractsscotland.gov.uk portal. Any clarifications about the Proposed Transaction should be submitted using the "Question and Answer" facility on the www.publiccontractsscotland.gov.uk portal by 1200 hours BST on 16 Nov 2020. Further information about the Proposed Transaction can be found in the EQ which has been uploaded with this voluntary notice. PAHL and TSP Holdco do not consider that the Proposed Transaction is subject to the requirements of the Utilities Contracts (Scotland) Regulations 2016 (“2016 Regulations”), the Public Contracts (Scotland) Regulations 2015 and the associated EU Directives. PAHL and TSP Holdco, therefore, do not consider themselves bound by these Regulations and associated Directives in respect of the Proposed Transaction in any way, and are publishing this contract notice on a voluntary basis in order to encourage a fair, open and transparent process resulting in a sale at market value. PAHL and TSP Holdco are using a process which bears some similarity to the negotiated procedure set out in the 2016 Regulations. However, PAHL and TSP Holdco do not consider themselves bound to follow the negotiated procedure as set out in the 2016 Regulations in any way. PAHL and TSP Holdco have indicated the use of the negotiated procedure at section IV.1.1 due to a mandatory requirement to select a procedure in this contract notice and have selected a duration of 6 months at II.2.7 due to a mandatory requirement to complete a duration. These responses should be ignored for the purposes of the Proposed Transaction. PAHL and TSP Holdco reserve the right to make revisions to the documentation (including the EQ) and/or the context, process, timing and structure of the process at any time. No additional time in relation to submission deadlines will be granted, following notification of any such revision, unless expressly notified by PAHL and TSP Holdco. Bidders shall be solely responsible for all costs, expenses and liabilities incurred in connection with the Proposed Transaction including preparation and submission of Eligibility Responses.
