Description
The novation of a General Medical Services contract to G Doc Ltd: NHS Gloucestershire CCG held a General Medical Services (GMS) contract ("the Contract") with the Partners of Blakeney Surgery ("the Partnership") for the provision of primary care services from Blakeney Surgery. The Contract is subject to the provisions of Chapter 3, Section 7 of the Public Contracts Regulations 2015 ("the PCR") (the Light Regime). NHS Gloucestershire CCG has relied on Regulation 72(1)(d) of the PCR to effect a permitted variation to the Contract given that G Doc Ltd has succeeded into the position of the Partnership, taking over its business operations. The Contract was novated to G Doc Ltd on 1 June 2022 on the same terms.
Total Quantity or Scope
This section provides detail of the services covered by the Contract and the novation of the Contract. The Contract covers the provision of primary care services to the patients registered with Blakeney Surgery. It is a GMS Contract that is subject to the requirements of the National Health Service (General Medical Services Contracts) Regulations 2015 (as amended). The Partnership was made up of two GPs who wished to withdraw from running the practice. G Doc Ltd was chosen by the Partnership and was able to take over the Partnership's business operations and run the Blakeney Surgery practice under a GMS Contract. NHS Gloucestershire CCG has therefore novated the Contract from the Partnership to G Doc Ltd.

Legal Justification
The Partnership was made up of two GPs who wished to withdraw from running the practice. GDoc Ltd was chosen by the Partnership to take over the Partnership's business operations. GDoc Ltd has replaced the Partnership as a consequence of a universal succession into the position of the Partnership which will now be wound down. The CCG therefore considers that the novation is permitted under Regulation 72(1)(d) of the PCR insofar as this Regulation is relevant to contracts that fall within Chapter 3, Section 7 of the PCR (contracts for social and other specific services). GDoc Ltd is a Gloucestershire-based cooperative of general practitioners which was willing and able to take over the Blakeney Surgery practice. It meets the requirements of the GMS Regulations and is a current contract holder in Gloucestershire for primary care services. The benefits of being able to novate the contract to a known entity in terms of assured continuity of care given the difficulties with workforce recruitment and retention in this rural area are significant. The novation of the Contract to GDoc Ltd ensures the ongoing stability of primary care services in Blakeney and enables these crucial services to continue without any break in service following the decision of the Partnership to withdraw. One of the GPs that comprised the Partnership continues to be employed within the practice and fully supports and is committed to the population in Blakeney. The CCG is satisfied that GDoc Ltd is the only provider capable of achieving these objectives at this stage.
