Legal Justification
Regulation 72(1)(b) of the Public Contracts Regulations 2015 (PCR) permit contracts to be modified without a new procurement procedure where additional services by the original contractor have become necessary and were not included in the initial procurement, where a change of contractor - (i) cannot be made for economic or technical reasons such as requirements of interchangeability or interoperability with existing equipment, services or installations procured under the initial procurement, or (ii) would cause significant inconvenience or substantial duplication of costs for the contracting authority, provided that any increase in price does not exceed 50% of the value of the original contract. The regulations require that a modification notice is published in Find a Tender. The estimated value of the extension is within the remit of PCR 72(1)(b). To put a new 1 year contract in place for April 2025 would not be commercially viable due to the length of time required for the consultation and procurement processes. Any potential operators in the market will have the opportunity to tender for the new contract, with the tender process estimated to commence in October 2024. The Council considers that the above justification provides rationale, and renders lawful the seeking of an extension to the current contract to allow for the procurement process, including Leaseholder consultation, insourcing and TUPE processes.
