Legal Justification

The existing agreement was awarded for an initial 12 months term, with options to extend for 2 x further 12-month periods which have been exercised and the agreement is set to expire on 31 May 2021 unless extended further. The need for modification is due to circumstances which a diligent contracting authority could not have foreseen (Regulation 72.1.c. of the Public Contracts Regulations 2015) — the impact of Covid-19 measures, potential supply chain difficulties and the need to ensure continuity of supply to the contracting authority’s DSO for carrying out response repairs and maintenance work. The modification does not alter the overall nature of the contract and any increase in price will not exceed 50 % of the value of the original 3-year contract award value. The modification will extend the contract for up to 12 months and a procurement exercise for a replacement contract will be undertaken as soon as reasonably practicable after the present adverse circumstances have alleviated.
